Please read these terms and conditions carefully before using the BCTPay mobile application and services.

1. Introduction and Acceptance

Welcome to BCTPay, a mobile payment and financial services platform operated by BCT CORP SAS ("we," "us," or "BCTPay"). These Terms and Conditions ("Terms") govern your access to and use of the BCTPay mobile application, website, and all related services (collectively, the "Services"). By creating an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services. BCTPay is authorized to provide payment services in accordance with applicable laws and regulations, including those set forth by the Central Bank of the Republic of Guinea (BCRG) and other relevant regulatory authorities in the countries where we operate.

2. Eligibility

To use BCTPay Services, you must: • Be at least 18 years of age or the age of legal majority in your jurisdiction • Have the legal capacity to enter into a binding agreement • Not be prohibited from using payment services under applicable laws • Provide accurate and complete registration information • Complete our Know Your Customer (KYC) verification process By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service, terminate accounts, or cancel transactions at our discretion if we believe you do not meet these requirements.

3. Account Registration and Security

3.1 Account Creation To access BCTPay Services, you must create an account by providing accurate personal information, including your full legal name, phone number, email address, and government-issued identification. You agree to keep your account information current and accurate. 3.2 Account Security You are responsible for maintaining the confidentiality of your account credentials, including your PIN, password, and any authentication codes. You agree to: • Create a strong, unique PIN that you do not use for other services • Never share your login credentials with anyone • Enable all available security features, including biometric authentication when available • Notify us immediately if you suspect unauthorized access to your account 3.3 Account Verification We may require additional verification at any time to ensure the security of your account and compliance with regulatory requirements. Failure to complete verification may result in limited functionality or account suspension.

4. Payment Services

4.1 Sending and Receiving Money BCTPay enables you to send and receive money through various methods, including: • Mobile money transfers (Orange Money, MTN Mobile Money, and other supported networks) • Bank transfers • QR code payments • Person-to-person transfers 4.2 Transaction Processing Transactions are typically processed instantly, but some transfers may take longer depending on the recipient's payment method, network conditions, or regulatory requirements. We are not responsible for delays caused by third-party payment providers or financial institutions. 4.3 Transaction Limits We may impose transaction limits based on your verification level, regulatory requirements, and risk assessment. Current limits are displayed in the app and may be adjusted at any time. 4.4 Currency and Exchange Rates When transactions involve currency conversion, the applicable exchange rate will be displayed before you confirm the transaction. Exchange rates are determined by market conditions and may include a margin.

5. Fees and Charges

5.1 Service Fees BCTPay may charge fees for certain services, including: • Money transfers • Currency conversion • ATM withdrawals • Bill payments • Premium account features 5.2 Fee Disclosure All applicable fees will be clearly displayed before you complete a transaction. By confirming a transaction, you authorize BCTPay to deduct the disclosed fees from your account. 5.3 Third-Party Fees You may incur additional fees from third parties, such as mobile network operators, banks, or ATM providers. These fees are not controlled by BCTPay and are your responsibility. 5.4 Fee Changes We reserve the right to modify our fee structure at any time. Changes will be communicated through the app or email at least 30 days before taking effect.

6. Prohibited Activities

You agree not to use BCTPay Services for any illegal, fraudulent, or prohibited purposes, including but not limited to: • Money laundering or terrorist financing • Fraud, scams, or deceptive practices • Purchasing illegal goods or services • Circumventing transaction limits or security measures • Creating multiple accounts without authorization • Interfering with the proper operation of our Services • Violating any applicable laws, regulations, or third-party rights • Using automated systems or bots to access our Services • Attempting to reverse-engineer or decompile our software We actively monitor transactions for suspicious activity and may report such activity to relevant authorities in compliance with Anti-Money Laundering (AML) regulations.

7. Intellectual Property

7.1 BCTPay Property The BCTPay name, logo, trademarks, and all related intellectual property are owned by BCT CORP SAS. You may not use, copy, modify, or distribute our intellectual property without prior written consent. 7.2 App Content All content within the BCTPay application, including text, graphics, user interfaces, and software, is protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive license to use the app for personal, non-commercial purposes in accordance with these Terms. 7.3 User Feedback Any feedback, suggestions, or ideas you provide regarding our Services become our property, and we may use them without compensation or attribution to you.

8. Privacy and Data Protection

8.1 Privacy Policy Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. 8.2 Data Collection We collect personal information necessary to provide our Services, comply with legal obligations, and improve our offerings. This includes identity information, transaction data, device information, and location data where permitted. 8.3 Data Sharing We may share your information with: • Third-party payment providers to process transactions • Regulatory authorities as required by law • Service providers who assist in operating our platform • Law enforcement when legally required 8.4 Data Security We implement industry-standard security measures, including encryption and secure data storage, to protect your personal and financial information.

9. Limitation of Liability

9.1 Service Availability BCTPay Services are provided "as is" and "as available." We do not guarantee uninterrupted, error-free, or secure access to our Services. We may suspend or discontinue Services at any time for maintenance, upgrades, or other reasons. 9.2 Limitation of Damages To the maximum extent permitted by applicable law, BCTPay, its affiliates, officers, directors, employees, and agents shall not be liable for: • Any indirect, incidental, special, consequential, or punitive damages • Loss of profits, data, or goodwill • Service interruptions or delays • Unauthorized access to your account due to your negligence • Actions of third-party payment providers 9.3 Maximum Liability Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the total fees you paid to BCTPay in the six months preceding the claim.

10. Dispute Resolution

10.1 Customer Support If you have a complaint or dispute regarding our Services, please contact our customer support team first. We are committed to resolving issues fairly and promptly. 10.2 Informal Resolution Before initiating formal proceedings, you agree to attempt to resolve any dispute informally by contacting us. We will work in good faith to address your concerns. 10.3 Mediation If informal resolution is unsuccessful, either party may request mediation through a mutually agreed-upon mediator. Each party shall bear their own costs of mediation. 10.4 Arbitration Any dispute that cannot be resolved through mediation shall be submitted to binding arbitration in accordance with the rules of the applicable arbitration institution in Guinea. The arbitration shall be conducted in Conakry, Guinea. 10.5 Class Action Waiver You agree to resolve disputes with BCTPay on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

11. Account Termination

11.1 Termination by You You may close your account at any time by contacting customer support or using the account closure feature in the app. Before closing, you must withdraw any remaining balance and settle any outstanding obligations. 11.2 Termination by BCTPay We may suspend or terminate your account immediately if: • You violate these Terms • We suspect fraudulent or illegal activity • Required by law or regulatory order • You fail to complete required verification • Your account has been inactive for an extended period 11.3 Effects of Termination Upon termination: • Your access to Services will be revoked • Any pending transactions may be canceled • We may retain your data as required by law • Provisions that by their nature should survive termination will remain in effect

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Guinea, without regard to its conflict of law provisions. For users outside Guinea, local consumer protection laws may apply to certain aspects of our Services. Nothing in these Terms shall limit your rights under mandatory local laws. BCTPay operates in compliance with: • Central Bank of the Republic of Guinea (BCRG) regulations • Anti-Money Laundering (AML) laws • Know Your Customer (KYC) requirements • Data protection regulations applicable in each jurisdiction where we operate

13. Amendments

We reserve the right to modify these Terms at any time. When we make material changes: • We will notify you through the app, email, or other appropriate means • The updated Terms will be posted on our website and within the app • Your continued use of the Services after changes take effect constitutes acceptance of the new Terms If you do not agree to the modified Terms, you must stop using the Services and close your account.

14. General Provisions

14.1 Entire Agreement These Terms, together with our Privacy Policy and any additional terms for specific services, constitute the entire agreement between you and BCTPay. 14.2 Severability If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 14.3 Waiver Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 14.4 Assignment You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations at any time. 14.5 Language These Terms may be provided in multiple languages. In case of any discrepancy, the English version shall prevail.
